Terms and Conditions for the Friends Recommendation Program

These Terms and Conditions (“Terms”) form a binding legal agreement between TikTok Pte. Ltd. or one of its affiliates (collectively such entities will be referred to as “TikTok”, “we” or “us”) and you (“you”, “yours”, or “Participant”), and sets forth the terms and conditions for Participant’s participation in the TikTok Friends Recommendation Program (“Program”) available on the application owned or controlled by TikTok, including, without limitation, the TikTok mobile application (“Platform”), our related websites, services, applications, products and content owned or controlled by us ("Services").

These Terms are subject to, and shall also include, the Terms of Service, Privacy Policy, Community Guidelines and other policies on the Platform and such terms may be amended from time to time in accordance with the terms therein (collectively referred to as the “Platform Terms”).

The Program allows Participants to earn points (“Points”) which may be used to get rewards in cash (to be denominated in USD, or when TikTok deem fit and as applicable, in any local currency) and/or rewards in-kind (collectively, “Rewards”) by completing a number of activities as set out in the Terms.

We reserve the right to change any terms and conditions hereunder or cease the Program, at our sole and absolute discretion, any time and without prior notification nor liability to the Participant. Your continued participation in the Program after any change in the Terms shall be deemed as your acceptance of such amended Terms. If you disagree with the amended Terms, please cease your participation in the Program.

Please read these Terms carefully before participating in the Program. If you do not agree to these Terms, you cannot participate in the Program. By participating in this Program, you represent and warrant that you meet the eligibility requirements as set out below, and accept these Terms.

1. How to Participate

(a) To participate in the Program, you may access the Program page(s) by clicking on the rewards icon in the top left corner of the 'Profile' tab and/or on the pop-up on the TikTok Platform, and follow the instructions set out on how to participate (“Referral Page”). You will be asked to expressly accept these Terms in order to participate.

(b) The Program starts from [2022.7.22] and shall remain in force until further notice ("Program Period"). We may amend or extend the Program Period, or discontinue the Program at any time at our sole and absolute discretion without prior notification nor liability to you. However, if we amend, extend the Program Period or discontinue the Program, we will make reasonable efforts to provide you with prior notice.

(c) The Participant agrees that TikTok has the absolute right to manage, regulate, control, modify and/ or discontinue the Program (including allowable withdrawal options), at any time, in its sole discretion. TikTok does not guarantee in any way that the Rewards available at the time of the grant of the Points will be available for exchange at the time of redemption of the Rewards by the Participant.

2. Eligibility

(a) Eligible Referrer under the Program

Participant qualifies as an eligible referrer (“Referrer”) as long as the following conditions are met:

(i) the Referrer is an existing user on the Platform;

(ii) the Referrer is at least 18 years of age and legally competent under the applicable laws; and

(iii) during the Participant’s participation in the Program, the Referrer is located in Malaysia or the Philippines.

(b) Eligible New Users (as defined below) under the Program

Participant qualifies as an eligible new user (“New User”) as long as the following conditions are met:

(i)The Participant is not an existing user on the Platform, i.e., users who have not yet used, or signed up on or installed the TikTok app before on his or her phone. If you have installed the TikTok app on your phone, even if you have not created or signed up for an account, you will no longer be considered as a New User;

(ii) The Participant is at least 18 years of age and legally competent under the applicable laws;

(iii)during the Participant’s participation in the Program, the New User is located in the same location as the Referrer;

(iv)The Participant has created a new account on the Platform using a Referral Code (as defined below) from a Referrer; and

(v)The Participant has not used another Referral Code to previously sign up for an account.

Participant qualifies as an eligible participant for Special Tasks as long as the following conditions are met:

(i) The Participant is at least 18 years of age and legally competent under the applicable laws; and

(ii) The Participant meets the additional requirement(s) (if any) as specified in the Special Tasks Rules (as defined below).

3. General Referral Program

(a) Subject to the Terms as set out herein, the New User and their Referrer are eligible to receive Points which may be used to get Rewards.

(b) Once the Participant completes the instructions on the Referral Page, TikTok will provide the Referrer with a unique download link (the “Download Link”) and referral code (“Referral Code”). The Referrer can share the Download Link and/or Referral Code to other individuals who are eligible to be New Users as set out in Section 2(b) above.

(c) The Referrer is eligible to receive a minimum number of Points to be indicated on the Referral Page if the New User successfully downloads and signs up (i.e., creates an account) on the Platform using the Download Link or the Referral Code of their Referrer (the “Referrer Rewards”). The Referrer Rewards can only be claimed once by the Referrer per each New User which successfully uses the Referrer’s Download Link or the Referral Code.

(d) The New User is eligible to receive a minimum number of Points to be indicated on the Referral Page if the New User successfully downloads and signs up (i.e., creates an account) on the Platform using the Download Link or Referral Code of their Referrer (the “New User Rewards”). This New User Rewards can only be claimed once.

(e) The final amount of the Referrer Rewards and New User Rewards will be determined based on multiple parameters including but not limited to the retention of the New Users invited by such Referrer, the engagement of such New Users on the Platform per day, and the past activities of the Referrer on TikTok.

(f) The Referrer is eligible to receive additional Rewards if the referred New User successfully completes certain Special Tasks from TikTok.

(g) The New User is eligible to receive additional Rewards if the New User successfully completes certain Special Tasks from TikTok.

(h) Download Links and Referral Codes should not be published or distributed on commercial websites (such as coupon or deal websites or forums), blogs or via other channels. Download Links and Referral Codes may not be sold and should only be distributed free of charge. Participants are prohibited from spamming others with referral invitations, including through mass emailing, texting, or messaging people you do not know with automated systems or bots through any channel. Participants are prohibited from paying to advertise their Download Links and/or Referral Codes. Participants may not mislead or attempt to mislead anyone in connection with the Program.

4. Special Tasks

(a) We reserve the right to promote special events, tasks and activities, at our sole and absolute discretion, offering the Participant an opportunity to earn additional Rewards by performing certain tasks that are to be indicated on the Referral Page ("Special Tasks").

(b) The Special Tasks are coterminous with the Program. The discontinuation of the Program will result to the automatic discontinuation of the Special Tasks.

specific rules for obtaining the Rewards from the Special Tasks; and

the type and amount of the Rewards, (the "Special Tasks Rules").

(d) These Special Tasks Rules will be set out in the Referral Page. The Special Tasks Rules shall form an integral part of, and shall be read together with, these Terms.

(e) Special Tasks can be initiated only after a Participant visits the Referral Page. Rewards for completing Special Tasks will not be granted to the Participant who has never visited the Referral Page.

(f) We reserve the right to change the Special Tasks Rules and/or discontinue any Special Tasks at our sole and absolute discretion, anytime and without prior notification nor liability to the Participant.

(g) If there is any inconsistency between the Terms and the Special Tasks Rules, the provisions of the Special Tasks Rules, except the Program Period, will prevail.

(h) Special Tasks include but are not limited to:

(i) Super bonus invitation task: If a Participant invite 5 New Users, such Participant may be eligible to receive a minimum number of Points to be indicated on the Referral Page. For the avoidance of doubt, the frequency of this task is limited to 10 rounds per day.

(ii) Limited time invitation task: If a Participant invites New Users within a specified period of time, such Participant may be eligible to receive the number of Points as stipulated in the relevant in-app pages under the Program.

5. Points and Rewards General Terms

(a) A Participant can only receive Points by participating in the General Referral Program or by accomplishing the Special Tasks. No Points can be obtained, and no Rewards can be earned, by exchanging money for Points or Rewards.

(b) No Points or Rewards may be assigned or transferred to any other user of the Platform or third party except as expressly permitted by us in writing.

(c) Points can only earn Rewards and cannot be exchanged for any other virtual items on the Platform. Notwithstanding anything to the contrary, Points cannot be transferred to any third-party platform to be used as a means of payment in such third-party platform.

(d) Rewards are provided on an “as-is” basis and cannot be exchanged. TikTok disclaims all warranties and representations of any kind, express or implied, including without limitation any warranty or representation of usability, satisfactory quality, merchantability or fitness for a particular purpose of the Rewards, or that any claims made by the manufacturers, distributors and/or service providers of the Rewards are accurate, that the Rewards will meet the Participant’s requirements.

(e) The sale, barter, assignment, exchange, transfer or other disposal of any Points or Rewards, other than governed by these Terms, is expressly prohibited.

(f) Points and Rewards do not constitute property and are not transferable: (a) upon death; (b) as part of a domestic relations matter; or (c) otherwise by operation of law.

(g) Any Points and Rewards assigned, sold, or otherwise transferred without the express written consent of us are void and of no value. Any user of the Platform who violates this restriction may have his or her account terminated by us, forfeit all Points and Rewards from his or her account, and/or be subject to liability for damages and litigation and transaction costs.

(h) You agree that we have the absolute right to manage, regulate, control, modify and/or eliminate Points and/or Rewards as we see fit at our sole discretion, in any general or specific case, and that we will have no liability to you based on our exercise of this right.

(i) We reserve the right to disqualify you or any New User from the Program, not to award any Points or allow for Rewards, if we have reasonable grounds to believe that you, the Invited User, and/or the New User:

(i) have tampered with or attempted to tamper with the process or the operation of Program;

(ii) have breached these Terms or the Platform Terms;

(iii) have committed acts with the intent to harass any other person; and/or

(iv) have made any misrepresentations in respect of, has abused, or has employed any illegal or criminal activity (including fraud) in connection with Program.

(j) The aggregate total of the Rewards earned by each Participant under the Program shall be determined by the record(s) shown in-app on the relevant page (such as the Referral Page) of the Program on the Platform (the “Result(s) Displayed”), provided however, TikTok reserves the right to interpret and/or adjust the Result(s) Displayed if the Result(s) Displayed is(are) of any unintended error that has occurred without any fraud or wilful misconduct on the part of TikTok.

(k) The Program may be subject to additional terms and conditions, and the Participants agree to comply with all terms and conditions applicable to the Program.

(l) Any additional cost in claiming the Rewards or any taxes applicable to the Program (including the Rewards) shall be borne by the Participants who receive such Rewards. For the avoidance of doubt, TikTok does not undertake any responsibility to withhold taxes on behalf of the Participants.

6. General terms of Rewards withdrawal

(a) Your Rewards can only be withdrawn in the applicable local currency. The applicable local currency amount equivalent to the Rewards you have earned will be displayed on the Platform under the relevant Program page(s).

(b) You can withdraw your Rewards via your PayPal or bank account, or by way of mobile top-up (if available). It is your responsibility to ensure that the information you provide in relation to your nominated account or mobile number for withdrawal is accurate, complete and up-to-date. You are responsible for any losses caused by providing incorrect or incomplete PayPal or bank account information or mobile number.

(c) Your TikTok Reward balance (or any part of it) is not transferable to other users of the TikTok Platform and you cannot deposit into the Program balance to increase your Reward balance or Points.

(d) Reward withdrawal is allowed if the balance of the Reward is greater or equal to the threshold of [50000] Points.

(e) You can only withdraw once a day and with a maximum amount of USD1,000 (or its applicable local currency equivalent). You cannot withdraw if the withdrawal is more than USD1,000 (or its applicable local currency equivalent).

(f) Any withdrawal is at all times subject to all applicable laws in the country or region where you reside or receive the payment.

(g) If you are subject to any taxes imposed by any jurisdiction other than the country where you are located on any Program withdrawal, you will be responsible for the payment of such taxes (including any related penalties or interest) to the relevant tax authority.

(h) You agree that we have the absolute right to manage, regulate, control, modify and/or eliminate the withdrawal feature as we see fit at our sole discretion, in any general or specific case, and that we will have no liability to you based on our exercise of this right.

(i) We reserve the right to verify your payment information, such as identity, age (by requesting a photocopy of your ID card, or other proof as may be required) and eligibility qualifications to our satisfaction prior to making any payment.

(j) We reserve the right to deduct or invalidate the Points from your account if you are in breach of these Terms.

(k) We may cancel any of the Special Tasks program at any time. If we cancel the Special Tasks, Points earned before the end of the event will still be valid. The Participant needs to withdraw no later than seven days after termination of the Points incentive, otherwise, any Points earned will be cleared and you acknowledge we will not have any responsibility to cash out your expired balance.

(l) Each payment service provider (such as PayPal) may have its own terms and conditions in relation to withdrawals. In this case, separate terms and conditions with the service provider in addition to these Terms may apply to the withdrawal of the Rewards, and may change from time to time. TikTok has no control over each service provider’s terms and conditions and shall under no circumstances be a party to any agreement or understanding between you and the relevant service provider.

(m) We will not charge you any fee for processing your withdrawal request. However, we are not liable for any fees that any payment service provider may charge you when withdrawing the Rewards according to the terms and conditions you agreed with them. Please refer to your applicable service provider’s terms and conditions for more information.

7. General Rules of the Program

(a) Notification. We may notify you of any Points or Rewards received by you via Platform notifications. However, we are not responsible for unsuccessful efforts to notify. Please check your TikTok account and email messages regularly, including your “junk” folders.

(b) Personal Data. Our collection, use and disclosure of your personal data and that of the Participant will be subject to these Terms and as described in the TikTok’s Privacy Policy. TikTok may collect Participant's personal information in order to process the Rewards disbursement and/or delivery, communication in connection with this Program and for the purposes of administering the Program in accordance with TikTok's Privacy Policy. If the Participants are not willing to provide their personal information, then TikTok will not be able to process, disburse and/or deliver the Rewards. By choosing to not provide the personal data, each such Participant acknowledges and agrees that any of his/her entitlement to the Rewards from this Program shall be forfeited and he/she shall release and discharge TikTok from any obligations or liability in relation to it, and undertakes to not submit any claim to TikTok with respect to any matter related to this Program.

(c) Cancellation and Disqualification. TikTok reserves the right to any remedy, including but not limited to cancelling or disqualifying Participant’s account and/or disqualifying any Participant from receiving any Rewards under the Program at any time at our sole discretion, if we have reasonable grounds to believe that the Participant:

(i) has tampered with or attempted to tamper with the process or the operation of the Program;

(ii) has breached these Terms or the Platform Terms;

(iii)has committed acts with the intent to annoy or harass any other person;

(iv) has made any misrepresentations in respect of, has abused, or has employed any illegal or criminal activity (including but not limited to fraudulent actions and terrorist financing) in connection with, the Program; and/or

(v) will or could bring us or our partners into disrepute.

Further, TikTok may suspend or terminate a Participant's account if it has reason to believe the Participant is involved in any fraudulent or dishonest activities. Any failure to comply with this the Platform Terms, any fraud, dishonesty or abuse relating to the use of the services or a Participant's account, or any misrepresentation of any information furnished to TikTok by a Participant or anyone acting on a Participant's behalf may result in the termination of the Participant's account; cancellation of any cash withdrawals made; and/or forfeiture of the Participant's accrued Rewards.

A failure to abide by these Terms, the perpetration of any fraud or abuse, whether relating to the accrual or receipt of Rewards or otherwise, and/or any misrepresentation of any information furnished to TikTok may result in a Participant's TikTok account being flagged for suspicious activity and suspended or terminated; any Reward accumulated being forfeited; and/or any Point or Reward used by the Participant being cancelled.

(d) Update of the Terms. TikTok may modify or update the terms and conditions of the Program, or the Special Tasks, including the amount of Rewards, withdrawal method, or limitation to any Rewards withdrawal for each Participant at any time at its sole discretion. The modified or updated terms and conditions will be posted and effective upon posting, or as otherwise dated.

(e) Limitation of Liability. TikTok shall not be liable for any event of force majeure (including natural disasters, the novel coronavirus (COVID-19), pandemic, mutated version of the pandemic, quarantine, activities subject to the instructions of government agencies, cyberattacks), any technical, hardware, software or inherent defects in telephone sets of any kind and shall also be held harmless from any lost or unavailable network connections, faults, incompleteness, inaccuracies, or delays caused by you or any equipment or programming associated with or utilized in this Program or any human or non-human error that may occur in the processing of this Program including inability to withdraw or any resulting withdrawal errors.

(f) To the maximum extent permitted by applicable laws, TikTok (including its respective officers, employees and agents) shall not be responsible for and exclude all liability (including those (except for death or personal injury) resulting from negligence), for any death, personal injury, or any loss or damage (including loss of opportunity), whether direct, indirect, special or consequential, arising in any way out of (i) the Program; (ii) any technical difficulties or equipment malfunction (whether or not under TikTok’s control); (iii) any theft, unauthorised access or third party interference; (iv) any variation in the Rewards value whether or not stated in these Terms; (v) any tax liability incurred by or accrued to a Participant or otherwise incurred or accrued in connection with this Program; or (vii) use of the Rewards.

(g) Parties’ Relationship. Your participation in the Program does not imply any agency, representation, sponsorship, or endorsement between TikTok and you.

(h) TikTok’s Promotional Activities. Each Participant consents and agrees that TikTok can distribute or use the Participants' particulars (including any publicly available TikTok or Facebook or Instagram profile photo and details): (i) in connection with, or for the promotion of, this Program; (ii) in any manner, format or media now known or hereafter developed, in any part of the world, including without limitation on online platforms such as TikTok, Facebook, YouTube, Twitter and Instagram; (iii) including for any promotional or marketing purposes of TikTok and other commercial purposes; and (v) without any obligation to obtain further consent. Each Participant hereby grants permission to TikTok, at TikTok’s sole option and discretion, to display the name, Program standings and results, in any media and in any manner now known or hereafter developed. Each Participant irrevocably grants to TikTok all consents and waivers necessary in connection with the above, without further compensation to the Participant.

(i) Confidentiality. Any information about TikTok, its affiliates, or its products, including the Platform and the Services, that is made available to you under this Program, including but not limited to these Terms, that is not otherwise publicly available is TikTok’s confidential information (“Confidential Information”). You agree not to disclose TikTok’s Confidential Information to any third party under any circumstance, unless approved in writing by TikTok.

(j) Disclaimer. This Program does not involve any form of luck, auctions or contests and is based on objective award criteria. Other than as expressly set out in these Terms, TikTok does not make any promises or commitments about the Program, Services, or Platform, such as the specific function of the Program, or its reliability, availability, or ability to meet your needs. The Platform and services are provided “as is”. To the extent permitted by law, TikTok excludes all warranties, express, statutory or implied. TikTok expressly disclaims the warranties or conditions of non-infringement, merchantability, and fitness for a particular purpose.

(k) Assignment. The Participant will not assign, sell, transfer, delegate or otherwise dispose of, whether voluntarily or involuntarily, by operation of law or otherwise, these Terms or any of its rights or obligations under these Terms without TikTok’s prior written consent. TikTok may freely assign these Terms or any of its rights or obligations under these Terms without the consent of the Participants.

(l) Severability. If any part of these Terms is found to be illegal, invalid or otherwise unenforceable then they shall be deleted from these Terms and the remaining clauses shall survive and remain in full force and effect.

(m) Governing Law and Settlement Forum. These Terms shall be interpreted and construed according to laws of Republic of Singapore and any dispute arising out of or in connection with these Terms, including any question regarding its existence, validity or termination, shall be referred to and finally resolved by arbitration administered by the Singapore International Arbitration Centre ("SIAC"). Such arbitration shall be conducted in accordance with the rules of the SIAC for the time being in forces ("Rules"), which Rules are deemed to be incorporated by reference into these Terms
